HITACHI EMPLOYEE USER AGREEMENT

This Hitachi Employee User Agreement (this "Agreement") governs all user access to this Site. You may access this Site only if you are an employee of a Hitachi group company located in the United States. By accessing this Site, you are confirming your agreement to the following:

A. Your purchase of any product through this Site is for personal, non-commercial purposes and you acknowledge and agree not to purchase any products for purposes of resale, trans-shipment, auction or any other form of commercial distribution.

B. You will not disclose, publish, share or redistribute the product listings, images, descriptions, pricing data, promotional, applicable shipping/delivery/handling charges, or other information available through this Site.

C. Purchases through the Site are handled by UEC Web, Inc., an independent company authorized by the Ubiquitous Platform Systems Division of Hitachi America, Ltd. to conduct employee sales. As a purchaser of any product offered for sale on this Site, you shall be solely responsible for resolving directly with UEC Web, Inc. any claims or issues arising in connection with your transaction, and the Hitachi group company with whom you are employed shall have no responsibility therefor.

D. Your access to this Site may be suspended, either temporarily or permanently, at any time, with or without notice, for any reason, including, without limitation, your breach of any term of this Agreement or misuse of, or tampering with the Site, which determination shall be made in the sole discretion of UEC Web, Inc. You understand and agree that any breach of this Agreement or any such misuse of, or tampering with, this Site may be communicated to your Hitachi group employer for such additional disciplinary action as such employer may deem appropriate.

E. You understand and agree that UEC Web, Inc. has the right to impose, and from time to time modify, limitations on the number of products you may purchase through this Site or the frequency or timing of such purchases.

F. This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, exclusive of its conflicts of laws provisions. You agree that money damages may not be a sufficient remedy for your breach of this Agreement and that UEC Web, Inc. will be entitled to seek temporary and permanent injunctive relief without posting a bond or other security and without proof of actual damages, in addition to all other remedies available at law or equity.

G. The copyrighted images, descriptions and other information on the site represent the sole property of Hitachi America, Ltd., Hitachi Home Electronics (America), Inc. and UEC Web, Inc.

H. This Agreement incorporates by reference the UEC Web, Inc. Terms of Web Site Use:

I. This Agreement may be updated from time to time, with or without notice, at the sole discretion of UEC Web, Inc.
